1. Introduction

These terms and conditions govern the sale of goods and services by Challenging Behaviour Solutions Ltd (CBSL) and form part of our contractual agreement with you. By accepting a quote or an invoice from CBSL, you agree to be bound by these terms and conditions.

2. Payment Terms

Invoices are issued upon delivery of goods or completion of services. Payment is due in full within 30 days of the invoice date, unless otherwise agreed in writing. CBSL reserves the right to charge interest on late payments at 8% per annum above the Bank of England base rate, accruing daily from the due date until payment is received. Payment can be made via bank transfer, credit card, or other methods as specified. Credit card payments may incur a processing fee.

3. Delivery of Goods/Services

Goods delivery timescales are estimates only. CBSL is not liable for delays caused by third parties or external circumstances. Services will be provided with reasonable care and skill, but no guaranteed outcomes. Additional services may incur further charges.

4. No Returns Policy

Due to the bespoke nature of our services and goods, all sales are final. No returns or refunds will be accepted once delivery is completed. Concerns should be raised through structured reviews (see Section 5).

5. Structured Reviews

Structured review sessions will be held as agreed at the time of purchase to assess and, if necessary, revise the original plan. Further revisions outside the scope of the original agreement may incur additional charges.

6. PayItMonthly Terms

When using PayItMonthly, a signed invoice confirming receipt of goods and completion of services must be provided. Payment plans must be followed as agreed, and failure to comply may result in fees or action from PayItMonthly.

7. Liability and Indemnity

CBSL’s liability is limited to the invoice value and excludes indirect or consequential losses. You agree to indemnify CBSL against any claims or costs arising from your use of our services or goods.

8. Governing Law

These terms are governed by the laws of Scotland. All disputes are subject to the exclusive jurisdiction of the Scottish courts.

9. Data Protection

CBSL is committed to protecting your privacy. Personal data is processed in accordance with our Privacy Policy and the UK GDPR. We use trusted third-party subprocessors (e.g., Zapier) to provide services. These subprocessors are required to maintain appropriate data protection standards. If data is transferred outside the UK or EEA, appropriate safeguards (e.g., SCCs) are in place. By engaging CBSL, you consent to such data processing by approved subprocessors.

10. Termination

CBSL may terminate service if terms are breached. You remain liable for any due payments and associated costs up to termination.

12. Amendments
